USER AGREEMENT

1.1 LES Russia is the owner of the Website. Under this Agreement, LES Russia grants the User the right to access and use the Website, and the User undertakes to use the Website properly and within the limits established by this Agreement.

1.2 The principal purpose of the Website is to provide information about the activities of LES Russia and the assets and rights belonging to it.

1.6 This Agreement constitutes an offer. The User may accept this Agreement by clicking the “Accept” button, or another button with a similar meaning, in the notification displayed when the User first visits the Website.

1.5 This Agreement does not govern any relations involving payment between LES Russia and the User.

1.4 LES Russia may amend this Agreement unilaterally without separately notifying the User.
When the User first visits the Website after amendments have been made to this Agreement, the User will see a notification inviting them to accept the amended Agreement. The current version of the Agreement is always published on the Website. The User must check the applicable terms of the Agreement from time to time.

1.3 The Website contains exclusively reference or promotional information concerning the activities of LES Russia and intended for Users’ information. For the avoidance of doubt, the Website does not contain any public offers or other offers, except for this Agreement, or any commercial proposals.

This User Agreement (the “Agreement”) governs the relationship between the Interregional Public Organisation “Licensing Executives Society,” established under the laws of the Russian Federation (Primary State Registration Number (OGRN): 1047746002182; Taxpayer Identification Number (INN): 7713048223) and having its registered office at 25 Bolshaya Spasskaya Street, Building 3, Moscow 129010 (hereinafter referred to as “LES Russia”), and any person (hereinafter referred to as the “User”) who visits or uses the website available at www.les-russia.org (hereinafter referred to as the “Website”).

2.1LES Russia holds duly registered exclusive rights and/or rights of use under licences in respect of the Website as a whole as a composite work, as well as all intellectual property placed on the Website.
Such intellectual property includes, among other things:

• texts;
• photographs;
• diagrams;
• graphic works and other images;
• interface elements;
• logos;
• computer programs, including source code and object code;
• other copyright-protected works;
• video and audio recordings;
• databases and other objects of related rights;
• trademarks and service marks;
• the company name and commercial designations of LES Russia;
• the selection, arrangement and layout of the above materials on the Website;
• the Website design, including its appearance, colour palette, structure and fonts.

All the above intellectual property is hereinafter collectively referred to as the “Content.”

Intellectual Property Rights

2.2 The User must respect the rights of LES Russia in the Website and the Content and refrain from any actions that may directly or indirectly infringe those rights or facilitate such infringement by any third party.

3.2 The User is not authorised to grant sublicences in respect of the rights specified in Clause 3.1 of this Agreement.

3.1 ПUnder this Agreement, LES Russia grants the User a non-exclusive, royalty-free right (licence) to use the Website and the Content throughout the world strictly in the following ways:

• accessing and viewing the Content by opening the Website in a browser window during the User’s internet session;
• saving Website pages to a machine-readable storage medium, such as a computer hard drive or flash drive, or printing them on paper for the User’s personal use, provided that the User complies with all the following restrictions:

1. copies or printouts of Website pages or fragments thereof may not be distributed, and Website pages may not be repeatedly copied or printed where such copying or printing is not reasonably justified by the stated purpose of use;
2. intellectual property notices, symbols or rights statements may not be removed, altered or concealed on printed or electronic copies;
3. Website pages or fragments thereof may not be saved or printed if they contain a notice prohibiting such actions or software preventing such actions;
4. the Content may not be altered or supplemented;
5. individual intellectual property forming part of the Content may not be saved or printed separately from the Website page on which it appears, except where quoted as provided below;

• using the functions available on the Website in accordance with their intended purpose as determined by LES Russia; and
• quoting the Content to the extent justified by a lawful purpose of quotation, provided that the Website is identified as the source by means of a hyperlink.

Use of the Website and Content

3.3 The rights specified in Clause 3.1 of this Agreement are granted on the condition that the User complies with all provisions of this Agreement.
If the User breaches any provision of this Agreement, the User’s rights to use the Website shall terminate automatically at the time of the breach, without any separate notice from LES Russia.

3.4 LES Russia may, at its discretion and without stating any reason, terminate or restrict access to the Website for individual Users or groups of Users.

3.5 The User is prohibited from:

• reproducing the Content in a periodical publication and subsequently distributing copies of that publication, broadcasting the Content, communicating it by cable or making it available to the public without the prior written consent of LES Russia. For the avoidance of doubt, this Agreement does not constitute such consent;
• accessing Website settings that are not intended for use by Users;
• taking any action intended to impersonate another User;
• using the Website and/or Content in any manner not expressly specified in Clause 3.1 of this Agreement, including, without limitation, adaptation, decompilation or incorporation into composite works;
• using the Website and/or Content in any manner for commercial purposes, unless the User has obtained the prior written consent of LES Russia. For the avoidance of doubt, this Agreement does not constitute such consent;
• creating phishing websites or any other online resources that are confusingly similar to the Website and/or Content;
• performing any actions involving the Website’s source code;
• circumventing the Website’s navigation system or taking any action intended to cause the Website to malfunction, slow down or become difficult to use, or to artificially increase the load on servers or communication channels;
• circumventing antivirus software, firewalls or other security measures protecting the Website or its hosting environment;
• searching for or exploiting vulnerabilities in the Website;
• accessing the Website using web bots, except for official web crawlers operated by search engines;
• using the Feedback Forms, as defined in Clause 4.1 of this Agreement, for any purpose other than that established by LES Russia, including sending malware, advertising, spam or fraudulent messages through the Feedback Forms;
• monitoring the activities of other Website Users or attempting to establish their identities;
• taking any action contrary to the laws of the Russian Federation and/or the laws of the country in which the User is located;
• taking any other action prohibited by this Agreement; or
• encouraging any other person to engage in the actions listed above.

4.1 LES Russia provides web forms on the Website (the “Feedback Forms”) through which Users may send messages to LES Russia (the “Messages”) concerning the matters specified in the headings of the relevant forms or on the corresponding Website pages. In particular, a Feedback Form may be used to submit an application for membership of LES Russia.

4.Feedback Forms

4.2 Users shall send Messages solely on their own behalf and exclusively in their own interests.

4.6 Messages sent through the Feedback Forms constitute confidential information and shall not be disclosed by LES Russia, except in the following circumstances:

1. the User who sent the Message has requested in writing that the Message be disclosed to a third party or made public;
2. disclosure of the Message is required by an order of a competent court, a lawful request from law-enforcement authorities or other public authorities, or the requirements of applicable law;
3. the Message contains information about a committed or planned criminal or administrative offence, or indications of such an offence; or
4. the Message contains information infringing the rights of LES Russia or information concerning an infringement of the rights of LES Russia.

4.5 LES Russia makes every reasonable effort to process Messages promptly. However, LES Russia does not guarantee that a response will be sent to the User within any particular period.
LES Russia may leave a User’s Message unconsidered or unanswered if it does not comply with this Agreement or in any other circumstances where LES Russia considers this appropriate.

4.4 The Feedback Forms are not intended for sending materials containing information protected by law, including trade secrets or personal data relating to persons other than the sender of the Message.
If such a Message is submitted, LES Russia may be unable to ensure its proper receipt and consideration.
Where necessary, Users should submit such Messages in writing to the registered postal address of LES Russia specified in Clause 11.1 of this Agreement.

4.3 Messages that do not correspond to the stated purpose of the relevant Feedback Form may be deleted without consideration.

5.1 The Website may contain links to third-party online resources.
LES Russia makes every reasonable effort to avoid linking to unreliable, fraudulent or similar online resources. However, the operation of third-party resources is not governed by this Agreement.
LES Russia is not responsible for the content or operation of third-party online resources, including any harm that may be caused to Users through such resources.

6.Infringement of Intellectual Property Rights on the Website

6.1 If a User or another right holder believes that LES Russia is infringing their intellectual property rights, they should notify LES Russia using the contact details specified in Clause 11.1 of this Agreement.
To enable LES Russia to respond promptly to an alleged infringement, the right holder must submit a signed written statement in scanned form that:

• identifies the specific Website page and/or internet address on which the allegedly infringing Content is located; and
• includes evidence confirming that the relevant intellectual property rights belong to the right holder.

If the statement is signed by a representative, a document confirming the representative’s authority, such as a power of attorney, must also be enclosed.

7. Disclaimer of Warranties

7.2. WHEN USING THE WEBSITE, THE USER MUST RELY ON THEIR OWN ANTIVIRUS SOFTWARE, FIREWALLS AND OTHER INFORMATION-SECURITY TOOLS.
LES RUSSIA MAKES EVERY REASONABLE EFFORT TO PROTECT THE WEBSITE AGAINST HACKING, CYBERCRIME AND OTHER HARMFUL OR DANGEROUS ACTIONS BY THIRD PARTIES. HOWEVER, LES RUSSIA DOES NOT WARRANT THAT THIRD PARTIES WILL NOT UNLAWFULLY USE THE WEBSITE OR ITS CONTENT TO CAUSE HARM TO THE USER.

8.1LES RUSSIA SHALL NOT BE LIABLE FOR ANY BREACH OF ITS OBLIGATIONS UNDER THIS AGREEMENT OR FOR ANY LOSS INCURRED BY THE USER AS A RESULT OF USING THE WEBSITE, EXCEPT WHERE LES RUSSIA HAS ACTED INTENTIONALLY.
LES RUSSIA SHALL NOT BE LIABLE FOR ANY OTHER HARM CAUSED TO THE USER UNLESS SUCH HARM WAS CAUSED THROUGH THE FAULT OF LES RUSSIA.
THE PARTIES AGREE THAT UNDER NO CIRCUMSTANCES SHALL LES RUSSIA BE REQUIRED TO COMPENSATE THE USER FOR:

• LOSS OF PROFIT; OR
• TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY INDIRECT, PUNITIVE, CONSEQUENTIAL OR OTHER LOSS OR DAMAGE RECOGNISED UNDER THE LAWS OF THE COUNTRY IN WHICH THE USER IS LOCATED.

8. Limitation of Liability

8.2. THE USER SHALL BE FULLY LIABLE FOR ANY BREACH OF THIS AGREEMENT OR INFRINGEMENT OF THE INTELLECTUAL PROPERTY OR OTHER RIGHTS OF LES RUSSIA IN ACCORDANCE WITH APPLICABLE LAW, AS SPECIFIED IN SECTION 10 OF THIS AGREEMENT, AND THE LAWS APPLICABLE IN THE USER’S LOCATION WHERE THE USER’S ACTIONS CONSTITUTE A CRIMINAL OR OTHER OFFENCE UNDER THE LAWS OF THAT COUNTRY.

9. Confidentiality

9.1The User’s personal data constitutes confidential information and is processed in accordance with the Online Personal Data Processing Policy.

10. Governing Law and Dispute Resolution

10.1 This Agreement and all relations between the Parties arising in connection with the use of the Website shall be governed by the laws of the Russian Federation.

10.2 Any disputes arising from this Agreement or relating to the use of the Website shall be resolved by the competent court at the location of LES Russia.
